Legal Counsel – Gauteng

Purpose

Ensures all contracts at group level and at operations level are legally and commercially sound. Drafts, reviews, and settles all contracts, in consultation with Executive Head: Legal. Supports Supply Chain department in negotiation and finalization of all contracts. Manages and custodians the contractual and regulatory documents’ filing system. Provides counsel to business on legal matters, regulatory matters, commercial matters and related, in consultation and conjunction with Executive Head: Legal. Manages and drives the company’s secretarial function and ensures the group and subsidiary boards are adequately supported. Provides assistance with litigious matters: including drafting the relevant legal process, letters, documents and the like to protect the company against any litigious harm and helps company enforce its legal rights through litigation or alternative dispute resolution mechanisms. Briefs and manages external legal advisors to ensure accountability and manageable legal spend. Perform all functions necessary to support, protect and guide the business from a legal and regulatory perspective.

Key responsibilities

Protects the interests of the company in its contractual relationships with service providers and contractors, by: –

  • Drafting, reviewing, and/or revising contracts, e.g., Mining contract, Diesel supply contract, Drilling, blasting and explosives contract.
  • Reviewing papers and briefing attorneys if litigation becomes necessary, e.g., royalty tax, transfer pricing, etc. matters.

Assist in performing company secretarial function by:

  • Ensuring compliance with the Companies Act and all relevant codes pertaining to the necessary document generation,
  • Drafting and filing board and shareholder meetings
  • Act as the custodian of all company secretarial matters, in conjunction with Executive Head: Legal.

Decisions and Judgements

  • Has the authority to make decisions on legal matters, specifically, contractual terms and legal disputes, in consultation with ExecutiveHead: Legal.

  • Board, Board sub-committees, EXCO, HOD’s and Management in all departments as a support role.

  • Counterparts in Contractors/Suppliers, firms of attorneys, Regulators etc.

 

Minimum requirements

  • Law Degree from reputable institution
  • LLB and admitted attorney of the High Court of South Africa, having practiced as a commercial attorney with expertise in mergers &acquisitions, regulatory and statutory compliance (including company secretariat).
  • 5 Years experience in commercial law field.

 

Skills and Knowledge:

  • Understanding of the Companies Act.
  • Understanding of commercial law with background on merger & acquisitions and commercial litigation.
  • Understanding of mining and labor legislation.
  • Managerial skills (planning, leading, organizing, controlling).
  • Report writing skills.
  • Professional, excellent verbal and written communication in English.
  • Microsoft Office Professional (Word, Excel, PowerPoint, MS Project, etc.).
